Agreement Acceptance

This binding agreement is established between you and Lucid Funded LLC ("Lucid Funded," "Company," "we," or "us"). These terms and conditions, along with all incorporated documents (collectively, "Terms"), govern your access to and use of LucidFunded.com, including all content, functionality, and services provided through our platform (the "Platform"), regardless of whether you visit as a guest or registered user.

Please review these Terms thoroughly before using our Platform. THESE TERMS INCLUDE MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS. By accessing our Platform or clicking to accept these Terms when presented, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you disagree with any provision of these Terms or our Privacy Policy, you must immediately discontinue use of our Platform.

By creating an account on the Lucid Funded platform, you consent to receive text messages related to your account activity and service updates.

Educational Content Disclaimer

Lucid Funded operates exclusively as an educational platform. All information, materials, and services provided through our Platform are intended solely for informational and educational purposes. Nothing contained within our Platform should be interpreted as legal, tax, investment, financial, or professional advice. No content on our Platform constitutes a recommendation to purchase, sell, or trade any security or financial instrument.

You bear complete responsibility for evaluating the merit and risks associated with any information or content accessed through our Platform before making any decisions. All investment and trading decisions remain entirely your own responsibility.

Financial Risk Disclosure

Historical performance data, whether actual results or simulated strategy testing, provides no guarantee of future performance or success. Trading and investing in any financial instrument carries substantial risk of loss, potentially including your entire investment capital across all asset classes (equities, bonds, mutual funds, options, futures, cryptocurrencies, and others). You should never risk capital that you cannot afford to lose entirely.

Terms Modifications

We retain the right to revise and update these Terms periodically at our sole discretion. All modifications become effective immediately upon posting and apply to all subsequent access and use of the Platform.

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance and agreement to the changes. You are expected to review this page periodically to stay informed of any updates, as all changes are binding upon you.

Platform Access and Account Security

We reserve the right to withdraw or modify this Platform, along with any service or material we provide, at our sole discretion without notice. We shall not be liable if all or any portion of the Platform becomes unavailable at any time or for any duration. We may periodically restrict access to some parts of the Platform, or the entire Platform, to users, including registered users.

You are responsible for:

• Making all necessary arrangements to access the Platform
• Ensuring that all persons accessing the Platform through your internet connection are aware of and comply with these Terms

To access certain Platform resources, you may be required to provide registration details or other information. As a condition of Platform use, all information you provide must be correct, current, and complete. You agree that all information provided during registration or otherwise is governed by our Privacy Policy, and you consent to all actions we take regarding your information consistent with our Privacy Policy.

If you receive a username, password, or any other security information as part of our security procedures, you must treat such information as confidential and must not disclose it to any other person or entity. You acknowledge that your account is personal to you and agree not to provide any other person with access to the Platform using your credentials. You must notify us immediately of any unauthorized access to or use of your credentials or any other security breach.

Payment Terms

While we offer portions of the Platform free of charge, we do charge fees for certain features and content. Upon payment, these transactions are final and non-refundable.

Lucid Funded will charge, and you authorize us to charge, the payment method you specify at purchase time. For credit card payments, we may seek pre-authorization to verify the card's validity and available credit for your intended purchase.

We reserve the right to establish, remove, and revise prices, fees, taxes, and surcharges for any services or products obtained through the Platform at any time. Regardless of the cause, we reserve the right to charge the final price after checkout, including all applicable transaction taxes.

For automatically renewing subscriptions, you may terminate your subscription prior to the next renewal term and remain responsible for payment of the then-applicable term.

Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including all information, software, text, displays, images, video, audio, and their design, selection, and arrangement) are owned by Lucid Funded, its licensors, or other material providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms permit you to use the Platform for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any Platform material, except as follows:

• Your computer may temporarily store copies of materials in RAM incidental to accessing and viewing those materials
• You may store files automatically cached by your Web browser for display enhancement purposes
• You may print one copy of a reasonable number of pages for your personal, non-commercial use and not for further reproduction, publication, or distribution
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your device solely for personal, non-commercial use, provided you agree to our end user license agreement

You must not access or use any part of the Platform or any services or materials available through the Platform for commercial purposes.

Trademarks

The Lucid Funded name, the terms "Lucid Funded," the Lucid Funded logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Lucid Funded or its affiliates or licensors. You must not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.

Prohibited Uses

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

• In any way that violates applicable federal, state, local, or international laws or regulations
• To exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content or requesting personally identifiable information
• To send, knowingly receive, upload, download, use, or re-use any material that does not comply with our Content Standards
• To transmit advertising, promotional material, junk mail, chain letters, spam, or similar solicitations
• To impersonate or attempt to impersonate Lucid Funded, our employees, another user, or any other person or entity
• To engage in conduct that restricts or inhibits anyone's use or enjoyment of the Platform or may harm Lucid Funded or Platform users

Additionally, you agree not to:

• Use the Platform in any manner that could disable, overburden, damage, or impair the Platform or interfere with others' use
• Use any robot, spider, or other automatic device to access the Platform for any purpose
• Introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any Platform parts, servers, or databases
• Attack the Platform via denial-of-service attacks or distributed denial-of-service attacks

User Contributions

The Platform may contain message boards, chat rooms, forums, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit content or materials (collectively, "User Contributions") on or through the Platform.

All User Contributions must comply with our Content Standards set forth in these Terms. Any User Contribution you post will be considered non-confidential and non-proprietary. By providing any User Contribution, you grant us and our affiliates, service providers, licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You understand and acknowledge that you are responsible for any User Contributions you submit, and you, not Lucid Funded, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

Monitoring and Enforcement; Termination

This agreement commences when you create your account or otherwise use the Platform and continues until terminated by you or Lucid Funded as set forth in this section. You may cancel your account at any time through your account settings. You will be charged in full for the then-applicable term.

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason at our sole discretion
• Take any action with respect to any User Contribution that we deem necessary or appropriate
• Disclose your identity or other information to any third party claiming that material posted by you violates their rights
• Take appropriate legal action, including referral to law enforcement, for any illegal or unauthorized Platform use
• Terminate or suspend your access to all or part of the Platform for any or no reason

Copyright Infringement

Lucid Funded complies with the Digital Millennium Copyright Act (DMCA). We will remove infringing materials in accordance with the DMCA if properly notified that content infringes copyright. If you believe your work has been copied in a way that constitutes copyright infringement, please notify our Copyright Agent by email at [email protected].

To the extent any content, material, information, or other informational offering published or stated on this or associated websites may be deemed "investment advice," such information is impersonal and not tailored to any specific person's investment needs.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR SUCH OTHER WEBSITES.

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES, AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS TO ANY PARTY EXCEED THE GREATER OF $1,000 OR THE AMOUNT YOU HAVE PAID TO THE COMPANY FOR THE APPLICABLE CONTENT, PRODUCT, OR SERVICES IN THE LAST 12 MONTHS.

Indemnification

You agree to defend, indemnify, and hold harmless Lucid Funded, its affiliates, licensors, service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

Governing Law and Jurisdiction

All matters relating to the Platform and these Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Class Action Waiver

Any arbitration under these Terms will take place on an individual basis. THE PARTIES AGREE THAT ANY CLAIMS WILL BE ADJUDICATED ON AN INDIVIDUAL BASIS AND EACH WAIVES THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR OTHER JOINT ACTION WITH RESPECT TO THE CLAIMS.

Waiver and Severability

No waiver by Lucid Funded of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Lucid Funded to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Lucid Funded LLC with respect to the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Platform.

Company Information

Lucid Funded (operating as Lucid Funded, LLC and affiliated entities) ("Company", "we", "our" or "us") provides you ("you" or the "Participant") with a limited license to use the trading evaluation services (the "Services") offered by the Company subject to the terms and conditions contained herein (the "Agreement") and your geographic location.

This Agreement constitutes a legally binding contract, and you have an obligation to read this Agreement before using and accessing the Services offered by the Company. By using the Services, you are agreeing to the terms and conditions contained within this Agreement.

The Company reserves the right to suspend, replace, modify, amend, or terminate this Agreement at any time within its sole and absolute discretion.

Participant Representations

By using the Services, you represent that you are at least eighteen (18) years old, are of sound mind, and have the capacity to agree to and uphold the terms and conditions contained within this Agreement. If you use the Services on behalf of a business entity or other third-party, then you represent that you have actual authority to act as an agent of that business entity or third-party.

You represent that your use of the Services does not violate any law, regulation, ordinance, statute, or treaty that is applicable to individuals or business entities located in the jurisdiction in which you reside.

Trading Restrictions

You are prohibited from using any trading strategy that is expressly prohibited by the Company or the Brokers it uses. Such prohibited trading shall include, but not be limited to:

• Exploiting errors or latency in the pricing and/or platform(s) provided by the Broker
• Utilizing non-public and/or insider information
• Front-running of trades placed elsewhere
• Utilizing any third-party strategy, off-the-shelf strategy or one marketed to pass evaluation accounts
• Attempting to arbitrage an evaluation account with another account
• Opening a position within 3 minutes before or after a News Event

Payout and Trading Rules

Payouts may be requested after 14 days of active trading. To be eligible, you must have 5 consecutive days of profitable trades.

Clients must place at least one trade per week to keep their account active. All trades must be closed daily by 3:45 PM EST before market closure, unless you have purchased a Pro Challenge Account that allows holding trades past market closure. Trades may be resumed at 6:00 PM EST when the market reopens. Failure to follow this rule will result in termination of your challenge.

Graduation Policy

At Lucid Funded, our mission is to provide traders with the opportunity to demonstrate their skill and discipline in a funded environment. Our program is not intended to be a permanent substitute for direct brokerage trading. Accordingly, once a trader has consistently demonstrated profitable performance and has successfully withdrawn profits from their funded account, Lucid Funded may determine that the trader has achieved the level of proficiency necessary to operate independently.

• Final Payout — All pending payouts will be processed and delivered in full to the trader.
• Account Closure — The funded account will be closed, and participation in the Lucid Funded program will conclude.
• Broker Recommendation — Lucid Funded will provide the trader with recommended brokerage options to continue their trading career directly in the live markets.

Copy Trading

Copy trading from one account to another is only permitted if the participant owns all the accounts in question.

• Group trading, signal services, passing services, or any other methods that bypass individual strategy are not allowed
• Using automated trading systems (EAs) or third-party trading strategies that facilitate copy trading is strictly prohibited

Purchases and Refunds

The Company may provide products, services, subscriptions, or access to certain portions of the Company's website at a monetary cost. Prices and availability are subject to change without notice.

Risk Disclosure Statement

Simulated Trading Disclaimer

The company is not a broker and does not accept deposits. Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, because the trades have not actually been executed, the results may have under-or-over compensated for the impact, if any, of certain market factors, such as lack of liquidity.
